Checklist: translating the requirement of equity into the governance of a financial institution

  • Formulate rules of conduct that are clear, brief and accessible, with their purpose made explicit so as to facilitate their application to unforeseen situations.
  • Identify clients and counterparties in a position of vulnerability, and adapt procedures to prevent any exploitation of their distress or inexperience.
  • Check the proportionality between the services provided and the remuneration received, particularly for loans and complex products.
  • Document the commitments made to clients and ensure that they are performed loyally, in accordance with the principle of good faith.
  • Organise internal supervision on a collegial basis, distributing powers between management, the board of directors, compliance and audit.
  • Provide for mechanisms of correction and reparation, so that identified breaches lead to a change in behaviour and, where appropriate, to compensation of those who have suffered harm.
