Checklist: choosing the language of a document or of proceedings

  • Identify the native or working language of the client and of the client’s advisers, as well as the languages of the countries in which the document will take effect.
  • Draft in the language that ensures the best understanding by the parties and the greatest legal certainty in the countries of enforcement.
  • Where the drafting is multilingual, designate the authoritative version by means of a prevailing-language clause and verify that the versions correspond.
  • For arbitration, choose the language of the proceedings according to the parties, the arbitrators available and the documents.
  • Provide for the certified translations needed for enforcement in non-French-speaking countries.
  • Make sure that the practitioners responsible for the drafting command the chosen language at the required level, including its national legal particularities.
